شروط وأحكام البيع

هذه هي الشروط التي تبيع بموجبها Molekula Ltd لعملائها من الشركات. وهي منشورة بلغة الشركة المتعاقدة.

Molekula Ltd · 1 Millennium Way, Newton Aycliffe, Durham DL5 6JW · Companies House 6879903

Last updated: 14 October 2026

1. Application

1.1 These terms apply to every sale of goods and related services by Molekula Ltd (“Molekula”, “we”) to a customer (“you”). They apply to the exclusion of any terms you put forward, including terms on a purchase order, unless we agree otherwise in writing and that agreement is signed by a director of Molekula.

1.2 We sell only to businesses, research and educational institutions and public bodies, acting in the course of their trade, profession or function. We do not sell to consumers. By placing an order you confirm that you are not acting as a consumer.

2. Quotations and orders

2.1 Product listings, prices on our website, catalogues and enquiry or basket submissions are invitations to treat, not offers. A quotation is valid for the period stated on it, or 30 days if none is stated, and may be withdrawn before we accept your order.

2.2 Your order is an offer to buy. A contract is formed only when we issue a written order confirmation or deliver the goods, whichever happens first.

2.3 We may decline any order, including where we cannot verify the identity or end use of a customer, or where a sale would breach the law or our compliance policies.

3. Prices and payment

3.1 Prices are in the currency stated on the quotation and exclude VAT, duties, and — unless the quotation says otherwise — carriage, insurance, packaging surcharges and hazardous-goods charges, which are added to the invoice.

3.2 Unless otherwise agreed in writing, payment is due in full within 30 days of the date of invoice, without set-off or deduction. We may require payment in advance, particularly for a first order, a non-stock or custom item, or where a credit limit would be exceeded.

3.3 If you pay late we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998, and suspend further deliveries until all overdue amounts are paid.

4. Delivery and risk

4.1 Delivery is made on the Incoterms® 2020 rule stated on the quotation or order confirmation; if none is stated, delivery is FCA our dispatching warehouse. Risk passes in accordance with that rule.

4.2 Delivery dates are estimates. Time of delivery is not of the essence, and we are not liable for late delivery unless a fixed date has been expressly agreed in writing. We may deliver in instalments, each of which is a separate contract.

4.3 Quantities may vary within ±5% for bulk and made-to-order goods; you pay for the quantity actually delivered.

4.4 You are responsible for any import licences, permits and registrations needed in the country of destination, and for providing accurate delivery and contact details.

5. Title

5.1 Title to the goods does not pass to you until we have received payment in full for them and for all other sums then due from you.

5.2 Until title passes you must store the goods separately, identified as our property, and keep them insured. We may recover them, and you authorise us to enter your premises for that purpose, if payment is overdue or you become insolvent. You may use or resell the goods in the ordinary course of business before title passes.

6. Product information and use

6.1 Goods are supplied to the specification on the quotation or, if none, our current product specification for that grade. Typical values, descriptions and data on our website, in brochures or in a safety data sheet are for information only and are not part of the specification unless expressly agreed.

6.2 Unless a product is expressly sold for another purpose, it is supplied for research, laboratory, industrial or manufacturing use. It is not supplied for human or veterinary use, food, cosmetics or medicinal use, and you are solely responsible for determining that a product is suitable for your intended purpose.

6.3 You must read and pass on the safety data sheet, and handle, store, transport, use and dispose of the goods in accordance with it and with applicable law.

7. Regulated substances and export control

7.1 Some products are subject to drug-precursor, explosives-precursor, chemical-weapons, poisons, sanctions or export-control rules. We may require an end-user declaration, licence or other evidence before supplying them, and may refuse or cancel an order without liability if this is not provided or we have reason to doubt the stated end use.

7.2 You must not use, resell or export the goods in breach of any such rules, or for any prohibited or military end use, and you must indemnify us against any loss arising from a breach of this clause.

8. Inspection and claims

8.1 You must inspect the goods on delivery. Damage, loss in transit or shortage must be noted on the carrier’s delivery note and notified to us in writing within 3 working days of delivery. Other defects that are apparent on reasonable inspection must be notified within 14 days of delivery, and hidden defects within 14 days of discovery.

8.2 Goods that are the subject of a claim must be kept unused and available for inspection, together with batch number and packaging, until we have dealt with the claim.

9. Warranty

9.1 We warrant that on delivery the goods will conform to the agreed specification and the certificate of analysis for the batch. Goods are warranted until the retest or expiry date shown, provided they have been stored as directed.

9.2 If goods do not comply with clause 9.1 and you notify us in time under clause 8, we will, at our option, replace them or refund or credit the price. This is your sole remedy for non-conforming goods.

9.3 All other warranties and conditions, whether express or implied by statute or otherwise, including those of satisfactory quality and fitness for a particular purpose, are excluded to the fullest extent permitted by law.

10. Returns

Because of their nature, chemicals cannot be returned for credit unless they are defective or we supplied the wrong item. Any return must be agreed in writing in advance and packed and shipped in compliance with dangerous-goods rules.

11. Limitation of liability

11.1 Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for breach of the terms implied by section 12 of the Sale of Goods Act 1979, under Part I of the Consumer Protection Act 1987, or for any other liability that cannot lawfully be limited.

11.2 Subject to clause 11.1, we are not liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profit, revenue, business, goodwill or anticipated savings, loss of or damage to data, product recall costs, or any indirect or consequential loss.

11.3 Subject to clause 11.1, our total liability arising out of or in connection with each contract is limited to the price of the goods under that contract.

12. Force majeure

We are not liable for any failure or delay in performing our obligations caused by events beyond our reasonable control, including shortage of raw materials or transport, supplier failure, fire, flood, epidemic, strikes, war, sanctions, or acts of government. If such an event lasts more than 60 days either party may cancel the affected order without liability.

13. General

13.1 You may not assign or transfer a contract without our written consent. If any provision is found invalid, the remainder of these terms remains in force. No failure or delay in exercising a right is a waiver of it. A person who is not a party has no right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.

13.2 We may update these terms from time to time; the version in force when the contract is formed applies to it.

14. Governing law and jurisdiction

These terms and any contract, and any dispute arising out of or in connection with them (including non-contractual disputes), are governed by the law of England and Wales. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply. The courts of England and Wales have exclusive jurisdiction, but we may also bring proceedings against you in the courts of your country.
